MOLLY & CO. BRAND AMBASSADOR AGREEMENT

This Brand Ambassador Agreement ("Agreement") is entered into by and between Molly & Co. LLC, a limited liability company organized under the laws of the Commonwealth of Puerto Rico ("Company"), and the individual ("Ambassador") who is accepted into the Molly & Co. Brand Ambassador Program ("Program"). By participating in the Program, the Ambassador agrees to the following terms and conditions.

1. Program Purpose & Eligibility

The Molly & Co. Brand Ambassador Program is designed to build a community of engaged, like-minded pet lovers who authentically represent our brand’s values and aesthetics. To be eligible, the Ambassador must manage a public social media account dedicated to their pet, rather than a personal account, and maintain an active presence by posting at least two (2) times per week with high-quality content.

2. Ambassador Commitments

Ambassadors are required to publish a minimum of three (3) Instagram feed posts per month featuring Molly & Co. products, tagging @shopmollyandco in both the caption and the visual content. Qualifying posts include single-image posts, carousel posts, and Reels. Instagram Stories do not count toward this requirement.

The Company will assign a personal 20% discount code for the Ambassador’s exclusive use, which may only be used to purchase products for their own pet. Orders will be monitored for unusual sizing or suspected misuse.

Ambassadors will also receive a 10% referral discount code to share with their followers. This code must be used at least once per month to maintain active status in the Program. Ambassadors who fail to meet this requirement may be considered inactive and may have their participation in the Program and associated discount codes deactivated, at the Company's sole discretion.

Ambassadors are strictly prohibited from sharing or submitting their discount codes on coupon websites, unauthorized promotional platforms, or in the comments of any paid advertisements published by Molly & Co. on its social media channels. Any violation of this restriction may result in immediate termination from the Program, at the Company's sole discretion.

Ambassadors must comply with all applicable federal, state, and local laws and regulations, including advertising disclosure requirements and applicable anti-spam laws.

In addition, Ambassadors agree to conduct themselves professionally and respectfully while representing Molly & Co. Ambassadors must not publish or promote content that is offensive, discriminatory, racist, illegal, or otherwise harmful to the Company's reputation. Any such behavior may result in immediate termination from the Program, at the Company's sole discretion.

3. Company Benefits

Molly & Co. LLC will provide selected Ambassadors with the following benefits: a 20% personal discount, a 10% referral discount code, early access to new product launches and collections, opportunities to participate in exclusive Molly & Co. photoshoots and receive photos of their pets, occasional invitations to Molly & Co. events or collaborations, and opportunities to be featured on the Company’s social media, website, or other marketing platforms. These benefits are provided at the Company’s discretion and may change over time.

4. Term & Termination

The initial term of this Agreement is six (6) months from the date of acceptance. Upon completion of the initial term, the Company may, at its sole discretion, invite the Ambassador to continue participating in the Program for an additional six (6) month term, based on their performance, engagement, and compliance with the Program requirements. Renewal is not automatic and is subject to the Company's approval and the Ambassador's acceptance.

Either party may terminate this Agreement at any time and for any reason, with or without cause. The Company reserves the right to remove any Ambassador from the Program at any time if they fail to meet performance standards, violate the terms of this Agreement, or act in a way that may harm the Company's brand or reputation.

Upon termination or expiration of this Agreement without renewal, the Ambassador's participation in the Program will end, and all associated discount codes and Program benefits will be deactivated.

5. Content Ownership & Usage Rights

By participating in the Program, the Ambassador agrees to grant Molly & Co. LLC a non-exclusive, royalty-free, perpetual, worldwide license to use, repost, distribute, modify, and create derivative works from any content shared in connection with this Agreement. This includes, but is not limited to, photos, videos, captions, reviews, and other user-generated content published on the Ambassador’s public social platforms, websites, or in communications with the Company.

The Company may use such content for promotional purposes, including but not limited to advertising, website use, social media, email marketing, trade show displays, and digital or print materials. Ambassadors acknowledge that their content may be edited, retouched, or reformatted to align with the brand’s visual and marketing standards.

The Ambassador represents and warrants that they own or have obtained all necessary rights, licenses, and permissions to create, publish, and authorize the Company's use of any content shared in connection with the Program. Ambassadors are prohibited from using copyrighted materials, trademarks, photographs, videos, music, or other intellectual property belonging to third parties without proper authorization.

The Ambassador is solely responsible for ensuring that their content does not infringe upon the intellectual property rights of any third party. To the extent permitted by applicable law, Molly & Co. LLC shall not be responsible for claims or disputes arising from the Ambassador's unauthorized use of third-party intellectual property.

6. Confidentiality

During their participation in the Program, Ambassadors may receive access to confidential or proprietary information, including but not limited to unreleased product designs, upcoming collections, launch dates, pricing information, marketing strategies, and internal business operations.

Ambassadors agree to keep all such information strictly confidential and shall not disclose, share, publish, or distribute it to any third party without the Company's prior written consent. Confidential information may only be used for purposes directly related to participation in the Program.

This obligation shall remain in effect during and after the termination or expiration of this Agreement, for as long as the information remains confidential.

7. Indemnification

To the extent permitted by applicable law, the Ambassador agrees to indemnify, defend, and hold harmless Molly & Co. LLC, its owners, officers, employees, and representatives from and against any third-party claims, liabilities, damages, losses, and reasonable legal expenses arising from the Ambassador's negligence, misconduct, violation of applicable laws, infringement of third-party intellectual property rights, or breach of this Agreement.

This provision shall survive the termination or expiration of this Agreement.

8. Nature of Relationship

Participation in the Molly & Co. Brand Ambassador Program does not create an employment, partnership, joint venture, or agency relationship between the Ambassador and Molly & Co. LLC.

Ambassadors participate in the Program independently and are not entitled to wages, salaries, commissions, or employee benefits. The only benefits provided are those expressly outlined in this Agreement.

Ambassadors have no authority to enter into agreements, make commitments, or assume obligations on behalf of Molly & Co. LLC without the Company's prior written authorization.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to any conflicts of law principles. 

Any disputes arising out of or relating to this Agreement shall be brought before the courts of competent jurisdiction located in San Juan, Puerto Rico, to the extent permitted by applicable law.

10. Modifications

Molly & Co. LLC reserves the right to modify, update, or amend this Agreement, the Program requirements, or the benefits offered at any time, at the Company's sole discretion.

The Company will notify Ambassadors of any material changes through email or other official communication channels. Unless otherwise required by applicable law, such changes will take effect on the date specified in the notice.

Continued participation in the Program after the effective date of any modifications constitutes acceptance of the updated terms, to the extent permitted by applicable law. Ambassadors who do not agree with the modifications may terminate their participation in the Program at any time.
